Corporate Ethics (Compliance)
GNI Group Ltd. GNI Group Ltd. (“the company”) and its affiliated companies (collectively, “the Group” or “we”) uphold the philosophy of creating high business value by contributing to society, patients, and shareholders as a pharmaceutical company. To fulfill its *Corporate Social Responsibility (CSR)*, the Group conducts its business activities in compliance with relevant laws, internal regulations, and high ethical standards based on the following principles:

Whistle-blowing System
Under the “Internal Whistleblowing Policy,” the Group establishes mechanisms to appropriately address internal reports concerning violations of laws or regulations involving the company or its employees. The system ensures the early detection and correction of such violations, under the responsibility of the President and CEO.
Internal Training
To promote compliance and raise awareness among employees, the Group conducts in-house compliance training, emphasizing adherence to laws, social norms, and high ethical standards.
Efforts to Prevent Human Rights Violations
Harassment Prevention
The Group prohibits harassment in the workplace under the “Workplace Harassment Prevention Policy.” Training sessions are held for all employees to raise awareness and prevent incidents such as sexual harassment and power harassment, thereby ensuring a comfortable work environment.
Risk Management Framework
The Board of Directors of the Company actively engages in overseeing the risk management process.
While the Board does not maintain a standing Risk Management Committee, each standing committee fulfills a direct supervisory function over the risks inherent to its respective area of oversight. Additionally, the Board, as a whole, performs the aforementioned supervisory functions directly. In particular, the Company’s Audit Committee is tasked with reviewing and discussing key strategic risks of the Group and the measures considered and implemented by management to mitigate such risks.
The Audit Committee also has the responsibility of confirming and overseeing whether the Company’s external advisors and programs involve appropriate and reasonable levels of risk exposure. Furthermore, the Nomination Committee supervises the Group’s programs to audit major compliance risks and the observance of applicable laws and regulations.
The Board of Directors, through the directors and management, holds ongoing responsibility for monitoring and evaluating the risks faced by the entire Group. The Board or an appropriate committee receives reports from the Company’s CEO or other members of management on risks facing the Company to ensure it can perform its duties to identify, manage, and mitigate risks effectively.
